This Amendment establishes a legal framework enabling corporate acts to be carried out by electronic means and outside the company\u2019s statutory domicile. <\/span><\/span><\/p>\n As a result of this Amendment, companies will now be able to, among others, hold:<\/span><\/p>\n <\/span><\/p>\n The Amendment became effective on October 21st, 2023, except for the amendments related to calls for partners\u2019 meetings for limited liability companies (S. de R.L. de C.V.) through their publication in the Ministry of Economy\u2019s electronic bulletin, which will become effective six months after October 20th, 2023.<\/p>\n The Amendment establishes several requirements for holding virtual meetings, such as:<\/p>\n Each company should evaluate its specific circumstances to determine if it would be beneficial to amend its bylaws. Considering the recent approval and implementation of the Amendment, it is uncertain if the practice of recording video calls or audioconferences as a method to verify the attendees\u2019 identities, register votes and establish recorded content as admissible evidence in legal proceedings can withstand legal challenges.<\/p>\n It is important to note that the Federal Civil Code and the Commercial Code already recognize the use of \u201celectronic, optical or any other technology\u201d and have established principles governing their use.<\/p>\n Therefore, to ensure compliance, companies must adhere to the requirements already established in Mexican law, including the standards in NOM-151-SCFI-2016 regarding data message preservation and document digitization. It is important to revisit its terms to fully comply with same as the labor authorities will now begin to verify its compliance.<\/span><\/p>\n These guidelines are intended to prevent accidents and diseases related to the performance of work-related activities from home, in addition to promoting a healthy and safe environment for employees working from home. The NOM also establishes the obligation to have a Work From Home Policy, which must contemplate the mechanisms for protecting the employees and must be prepared by the employer.<\/span><\/p>\n The NOM establishes certain obligations for both the employer and the employee in addition to those established in the Federal Labor Law.<\/span><\/p>\n The most relevant provisions of the NOM are the following:<\/span><\/p>\n 1. Employers must set forth in writing a work-from-home policy, which must establish the following:<\/p>\n 2. The employer shall have an updated list of all employees working from home.<\/p>\n 3. The employer shall have an initial and periodic checklist on remote work safety and health conditions to verify that the remote workplaces comply with the appropriate conditions.<\/p>\n 4. The employer must provide the remote worker an ergonomic chair and the necessary office supplies for the performance of his duties such as computer, printers, paper, etc.<\/p>\n 5. Likewise, the employer must have mechanisms for attention in cases of domestic violence that include the return of the employee to an in person setting, whether temporary or permanent.<\/p>\n 6. The NOM also establishes obligations applicable to remote workers, including the obligation to comply with the employer’s remote work policy, comply with data and information protection policies and mechanisms, keep their work tools in good condition and report changes of address, among others.<\/p>\n NOM-037 will enter into effect on December 8, 2023, therefore employers have a few days left
