Amendment to the General Law of Commercial Companies to Hold Meetings through Electronic Means<\/span><\/h1>\n

<\/span><\/strong><\/p>\n

On October 20<\/span>th<\/span>, 2023, a decree (the \u201cAmendment\u201d<\/strong>) amending several provisions of the General Law of Commercial Companies was published in Mexico\u2019s Official Journal of the Federation (<\/span>DOF<\/span><\/i>). This Amendment establishes a legal framework enabling corporate acts to be carried out by electronic means and outside the company\u2019s statutory domicile. <\/span><\/span><\/p>\n

As a result of this Amendment, companies will now be able to, among others, hold:<\/span><\/p>\n

<\/span><\/p>\n

    \n
  1. Partners\u2019 meetings (in the case of limited liability companies \u2013 S. de R.L. de C.V.) or shareholders\u2019 meetings (in the case of corporations \u2013 S.A. de C.V.) through the use of electronic, optical or any type of media;
    <\/span><\/span><\/span><\/li>\n
  2. Meetings of the company\u2019s administrative body (board of directors or board of managers) through the use of electronic, optical or any type of media;<\/span><\/span><\/span><\/span><\/li>\n
  3. Partners\u2019 or shareholders\u2019 meetings outside the company\u2019s statutory domicile, as long as it is approved by all the partners or all shareholders. <\/span><\/span><\/li>\n<\/ol>\n

    The Amendment became effective on October 21st, 2023, except for the amendments related to calls for partners\u2019 meetings for limited liability companies (S. de R.L. de C.V.) through their publication in the Ministry of Economy\u2019s electronic bulletin, which will become effective six months after October 20th, 2023.<\/p>\n

    The Amendment establishes several requirements for holding virtual meetings, such as:<\/p>\n
